This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (either an individual or a legal entity, “Customer”, “You”) and Intelligent Database Solutions, Inc. (“Company”). By installing, copying, or otherwise using SQL Examiner, SQL Data Examiner, their command-line versions (CLI), or any combination thereof (collectively, “Software”), you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.
The term SQL Examiner Suite refers to SQL Examiner and SQL Data Examiner, whether used individually or together, including graphical user interface (GUI) and command-line interface (CLI) versions.
Software means SQL Examiner, SQL Data Examiner, and SQL Examiner Suite, including all GUI and CLI versions, components, documentation, updates, patches, and related materials.
Per User License means a license granted to a single named individual.
Per Seat / Per Server License means a license granted for installation and use of the Software on a specific Server as described in Section 3.2.
Server means a physical or virtual machine running an operating system instance.
Virtual Machine (VM) means any virtualized server instance. Each Virtual Machine is considered a separate Server for Per Seat / Per Server licensing purposes.
Interactive Use means use of the Software through its graphical user interface by a human user.
Automated Use means use of the Software via scheduled tasks, command line execution, scripts, batch jobs, integrations, or any unattended execution.
Authorized Administrator means an individual authorized by Customer to administer, maintain, configure, deploy, monitor, support, or operate the licensed Server, the Software installed on that Server, or Customer’s database environments managed from that Server. Authorized Administrator does not include general end users or users accessing the Software through a Shared Multi-User Environment for their own individual use.
Shared Multi-User Environment means any environment in which multiple users, other than Authorized Administrators acting under a Per Seat / Per Server License for the limited purposes described in Section 3.2, are able to access, launch, run, or use the Software from the same system, installation, server, virtual machine, desktop, session host, application host, or instance, whether simultaneously or at different times.
Shared Multi-User Environment includes, but is not limited to, Remote Desktop Services (RDS), Windows Terminal Services, Citrix, VDI environments, hosted desktops, shared desktops, application publishing, application virtualization platforms, and similar technologies.
For clarity, installation of the Software on a Server that is accessed by Authorized Administrators for server administration, database administration, deployment, automation, monitoring, maintenance, or support purposes is not, by itself, a Shared Multi-User Environment.
Redistributable Command-Line Tool means a special version of the Software provided by Company for redistribution under the terms described in this Agreement.
Subject to payment of applicable license fees and compliance with this Agreement, Company grants You a non-exclusive, non-transferable license to use the Software as described below.
A Per User License grants the right to use the Software by one named individual.
The Software may be installed on multiple computers owned or controlled by You, provided it is used only by the licensed user.
The Software may also be installed on servers, remote desktop hosts, terminal servers, jump hosts, administrative servers, or similar systems, provided that each individual who is able to access, launch, run, or use the Software is licensed with a separate Per User License, unless such use is expressly permitted under a Per Seat / Per Server License in accordance with Section 3.2.
Per User licensing primarily implies Interactive Use of the Software.
In any Shared Multi-User Environment, a separate Per User License is required for each individual who is able to access, launch, run, or use the Software, regardless of whether such users access the Software simultaneously or at different times.
This requirement applies to, including but not limited to, Remote Desktop Services (RDS), Windows Terminal Services, Citrix, VDI environments, hosted desktops, shared desktops, application publishing, application virtualization platforms, and similar technologies.
Automated Use, including scheduled execution, command line automation, or unattended operation, is permitted under a Per User License only on a single computer at any given time.
For the purposes of this Agreement, Automated Use includes not only the actual execution of the Software, but also the presence of any configured mechanism that causes the Software to be executed automatically, including scheduled tasks, jobs, or triggers, regardless of whether such execution is currently in progress or scheduled for a future time.
Accordingly, configuring or maintaining Automated Use of the Software on more than one computer under a single Per User License, even if executions do not occur simultaneously, is not permitted.
A Per User License does not constitute a server license and does not allow unrestricted automated use across multiple machines.
A Per User License does not permit multiple individuals to share a single named user license, whether through shared accounts, shared desktops, terminal services, remote access, application publishing, or any other access method.
A Per Seat (also referred to as Per Server) License grants the right to install and use the Software on one specific Server.
The Software may be used on the licensed Server in any mode, including Interactive Use and Automated Use, by Authorized Administrators of that Server.
Automated, scheduled, unattended, service-based, and CLI execution is fully permitted on the licensed Server.
Any number of Authorized Administrators may access and use the Software on the licensed Server, provided that such access and use is limited to server administration, database administration, deployment, automation, monitoring, maintenance, support, or operation of the licensed Server or Customer’s database environments managed from that Server.
A Per Seat / Per Server License does not permit general shared end-user access to the Software.
A Per Seat / Per Server License does not permit the Software to be made available in a Shared Multi-User Environment for use by multiple users, whether simultaneously or at different times, unless each such user is licensed with a separate Per User License.
The fact that the Software is installed on a licensed Server does not grant a right for all users of a terminal server, remote desktop server, hosted desktop, shared desktop, Citrix environment, VDI environment, application publishing platform, or other Shared Multi-User Environment to access or use the Software.
Each Server requires its own Per Seat / Per Server License.
Each Virtual Machine on which the Software is installed or executed is considered a separate Server and requires a separate Per Seat / Per Server License, regardless of whether multiple Virtual Machines run on the same physical hardware.
Company may provide a Redistributable Command-Line Tool, which is a special version of the Software intended to be redistributed by Customer as part of Customer’s own application or solution.
Subject to the terms of this Agreement, Customer is permitted to redistribute the Redistributable Command-Line Tool to an unlimited number of end users and/or computers, provided that all of the following conditions are met:
Any use of the Redistributable Command-Line Tool outside the scope described above requires a separate written agreement with Company.
You may not:
Company provides technical support for the current released version of the Software.
If a newer version of the Software is released, Company will continue to provide support for the immediately previous version for a period of not less than six (6) months, even if the Customer has not upgraded.
Customers who purchase Priority Support and Upgrade Protection are entitled to:
Priority Support and Upgrade Protection is provided for the purchased term and is subject to renewal.
Support services may include troubleshooting, configuration assistance, and issue analysis. Company may provide fixes, workarounds, or updates at its discretion. Some issues may require installing updates or newer versions of the Software.
All prices and fees for the Software and related services are stated exclusive of any taxes, duties, or similar governmental charges.
Customer is responsible for all applicable taxes. Because applicable taxes may vary depending on jurisdiction and transaction details, the final amount, including taxes, is calculated and displayed at the time of checkout.
The Software is licensed, not sold. Company retains all right, title, and interest in and to the Software, including all intellectual property rights.
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. COMPANY’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SOFTWARE LICENSE.
This Agreement is effective until terminated. Company may terminate this Agreement if You breach its terms. Upon termination, You must cease all use of the Software and destroy all copies.
This Agreement shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict of law principles.
This Agreement constitutes the entire agreement between You and Company regarding the Software and supersedes all prior agreements or understandings.
